These Terms of Service ("Terms") are an agreement between you ("you" or "the User") and Sagentica ("we," "us," "Sagentica"), the maker of Encrypted Diary. By reserving a license, purchasing a license, downloading, installing, or using the Encrypted Diary application or website, you agree to these Terms.
Encrypted Diary is a private journal application that runs on your computer. It includes:

A reservation is a free, non-binding indication of interest. By providing your email, you are added to our launch list, and the $79 launch price is locked in for you when we ship. We do not charge anything to reserve. You may cancel any reservation at any time by ignoring our launch email, replying "remove me," or emailing us.
When you complete a purchase through Stripe, you are buying a perpetual license to use Encrypted Diary. The license is for a single individual user. You may install the software on multiple devices that you personally own and use.
Current pricing is shown on the website. We reserve the right to change prices for new purchases, but we never change the terms of a license you've already bought. The 30-day money-back guarantee is described in our Refund Policy.
Subject to these Terms, we grant you a personal, non-transferable, non-exclusive, perpetual license to install and use Encrypted Diary on devices you own or control, for your personal, non-commercial use.
Everything you write, store, photograph, or record using Encrypted Diary is and remains yours. We claim no ownership of it, no license to use it, no right to read it. We cannot read it — that is the entire architecture of the product.
You are responsible for the content you store. You agree not to use Encrypted Diary to store content that violates law (for example, illegal images of minors, classified materials you are not authorized to hold, or stolen intellectual property). We cannot police what is on your device — but if law enforcement compels us in a specific case, we will comply with valid legal process to the extent we are able.

If you subscribe to one of our Continuing Care plans (encrypted cloud sync and software updates), the subscription begins on the day of purchase and renews automatically until you cancel. You may cancel at any time, effective at the end of the current billing period. Canceling a subscription does not affect your license — you continue to own Encrypted Diary, with the software version installed on your device, indefinitely.
The on-device Companion is a language model that runs on your computer. Its outputs are generated by an algorithm; they may be incorrect, inappropriate to your situation, or simply unhelpful. The Companion is not a counselor, therapist, doctor, lawyer, or member of clergy. Treat its suggestions as conversation starters, not professional advice. In crisis situations, please contact a real human.
We may link to or integrate with third-party services (Stripe for payment, FamilyTreesAI.com for genealogy, prayer ministry phone lines in the Christian Edition, etc.). These are operated by independent parties, with their own terms and privacy practices. We are not responsible for their content, accuracy, or actions. We have curated the list to reflect our best judgment, and we update it when needed.
We work hard to deliver software that is correct, secure, and useful. However, the software is provided "as is." To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the software will be uninterrupted, error-free, or that all bugs will be fixed. We do not guarantee that AI Companion outputs will be accurate. We do not guarantee that legacy releases will occur perfectly in every possible future. We promise to do our part with diligence and care.
We are a small company. Companies sometimes end. We have thought about what that means for our users, and we want to be transparent.
If Sagentica ceases operations:
To the maximum extent permitted by law, Sagentica's total liability to you for any claim arising out of these Terms or your use of Encrypted Diary is limited to the amount you paid us in the previous twelve months. We are not liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
Some jurisdictions do not allow these limitations. In those places, our liability is limited to the maximum extent permitted by law.
You agree to indemnify Sagentica against claims brought by third parties arising out of your violation of these Terms or your unlawful use of the software.
We may revise these Terms from time to time. If we make a material change, we will email everyone we have an email address for, and post a notice on the website, at least 30 days before the change takes effect. The current version is always at this URL. Your continued use after a change indicates acceptance.
Encrypted Diary is not offered to, and may not be accessed or used by, residents of the European Union, the European Economic Area, the United Kingdom, or the State of California. By using this website or the application, you represent that you are not located in, and are not a resident of, any of these places. We may block access from these locations at our discretion.
You may stop using Encrypted Diary at any time. We may terminate or suspend your account if you materially breach these Terms (e.g., use the software for unlawful purposes). If we terminate for cause, your license to use the software ends. In all other cases, your purchased license is yours to keep.
These Terms are governed by the laws of the State of [State to be inserted], without regard to its conflict-of-laws principles. Before filing a lawsuit, we agree to first attempt good-faith resolution by writing to each other and discussing the issue. If that fails, disputes will be resolved in the state and federal courts of [County, State], and we both consent to personal jurisdiction there.
Nothing in this section prevents either party from seeking injunctive relief in an appropriate court for intellectual property or confidentiality issues.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sagentica regarding Encrypted Diary. If any provision is held unenforceable, the remaining provisions remain in effect.
